1. Acceptance of Terms

By accessing the Cogni platform, creating an account, or using our services — whether as an individual, professional, or organization — you confirm that you have read, understood, and agreed to these Terms of Use and our Privacy Policy.

If you do not agree with these terms, please do not use Cogni. Your continued use of the platform after the Terms are updated constitutes acceptance of the revised provisions, subject to any notices we may provide.

2. Description of the Service

Cogni is a wellbeing triage and navigation platform. It helps users check in across multiple dimensions of wellbeing, understand relevant context, and identify an appropriate next step for support — for individuals, professionals, and partner organizations.

 

Features may include wellbeing assessments, guided pathways, monitoring tools, aggregated organizational dashboards, and integrations with existing systems or workflows, depending on the type of account and applicable agreement.

Cogni continues to evolve. We may add, modify, or discontinue features in order to improve the service, comply with legal requirements, or maintain the security of the platform.

3. Eligibility and User Accounts

You must have the legal capacity to enter into an agreement under applicable law. If you use Cogni on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

 

You are responsible for the accuracy of the information you provide, maintaining the confidentiality of your login credentials, and all activity conducted through your account, except where unauthorized access has been promptly reported.

We may refuse, suspend, or restrict an account if the information provided is inaccurate, if the use of the platform violates these Terms, or if required to protect the security of the platform.

 

4. What Cogni Is Not

Cogni is not an emergency service or a substitute for emergency services; it does not provide medical or psychological diagnoses; it does not replace professional care, clinical judgment, or human decision-making; and it does not guarantee health or wellbeing outcomes.

 

Cogni’s AI and automated tools are designed to support the triage experience within defined boundaries. Decisions requiring clinical context remain the responsibility of the individuals and professionals involved.

 

If you or someone else is in immediate danger, contact your local emergency services or the appropriate resources in your area.

5. Acceptable Use

You agree to use Cogni lawfully, respectfully, and in accordance with these Terms. You may not circumvent security measures, access data not intended for you, use the platform to harass others or distribute unlawful content, interfere with the operation of the service, or use Cogni’s brand without authorization.

 

Professionals and organizations must also comply with the ethical, contractual, professional, and regulatory obligations applicable to their own context of use.

6. Content and Intellectual Property

The Cogni platform, including its design, text, trademarks, software, models, and content provided by Cogni, remains the property of Cogni or its licensors. Except for your right to use the service in accordance with these Terms, no intellectual property rights are transferred to you.

 

You retain the rights to the content you submit. By submitting content, you grant us a limited licence to host, process, and display that content as necessary to provide the service, in accordance with our Privacy Policy and the sharing settings you select.

 

7. Subscriptions and Payment

Certain Cogni features may be offered free of charge, while others may require a subscription or commercial agreement, including services for professionals and organizations.

Pricing, subscription duration, renewal terms, and billing arrangements are provided at the time of purchase or in the applicable agreement. Unless otherwise stated, fees paid are non-refundable.

 

We may change our pricing with reasonable advance notice. Failure to pay may result in the suspension or termination of access to paid features.

 

8. Termination

You may stop using Cogni and request the closure of your account through the mechanisms provided on the platform or by contacting us.

Cogni may suspend or terminate access in the event of a violation of these Terms, a security risk, a legal requirement, or the discontinuation of the service. Where reasonably possible, we will provide notice.

Any provisions that by their nature are intended to survive termination — including intellectual property, limitation of liability, indemnification, and governing law provisions — will remain in effect.

9. Limitation of Liability

To the extent permitted by applicable law, Cogni provides the platform on an “as is” and “as available” basis. We do not guarantee that the service will be uninterrupted, error-free, or suitable for every specific need.

 

To the extent permitted by law, Cogni and its directors, officers, employees, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or opportunities arising from the use of, or inability to use, the service.

 

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.

 

10. Indemnification

You agree to indemnify and hold harmless Cogni, its directors, officers, employees, and partners from any claims, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your use of the platform in violation of these Terms, your content, or your violation of third-party rights or legal obligations applicable to you.

11. Governing Law and Disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any mandatory rights you may have as a consumer, any dispute relating to these Terms or your use of Cogni will be submitted to the exclusive jurisdiction of the courts of the judicial district of  Quebec Canada.

 

We encourage you to contact us first so that we can attempt to resolve any dispute in good faith.

 

12. Changes to These Terms

We may update these Terms to reflect changes to the platform, our practices, or our legal obligations. The date of the most recent update will be displayed at the top of this page.

Where changes are material, we may notify you through the platform, by email, or through another appropriate method. Your continued use of Cogni after the revised Terms take effect constitutes acceptance of the changes, unless applicable law requires separate consent.
